An Affidavit of No Lien is a sworn statement in which a company officer or authorised representative declares under oath that specific property or assets are free from outstanding liens, charges, or encumbrances. Buyers, lenders, and title insurers use it as written assurance that no one else has a legal claim against the property before a transaction closes.
This affidavit is not a replacement for a registry search. Buyers and lenders often require both a lien search (through ServiceOntario or the Personal Property Security Act registry) and a sworn declaration as complementary forms of assurance.
The affidavit is used wherever a party needs sworn confirmation that property is unencumbered before committing funds or completing a transfer.
Only someone with personal knowledge of the company's financial obligations related to the property should swear this document. The declarant must state their position and authority in the affidavit.
